Board Committees

Investment Strategy Committee

 

Established as the investment committee required by the Canada Pension Plan Investment Board Act and comprised of the full Board, the Investment Strategy Committee establishes investment policies, standards and procedures, and reviews, approves and monitors our long-term investment strategy. It also approves certain investment transactions and the framework for engaging external investment managers.

 

Audit Committee

 

Required by the Canada Pension Plan Investment Board Act, the Audit Committee is responsible for overseeing financial reporting, external and internal auditing, information systems and internal control policies and practices.

 

Human Resources and Compensation Committee

 

Created by the Board of Directors to advance corporate governance and operating objectives, the Human Resources and Compensation Committee is responsible for reviewing and recommending the compensation philosophy for CPP Investments, recommending the performance evaluation process for the Chief Executive Officer, ensuring a succession planning program is in place and reviewing organizational structure.

 

Governance Committee

 

Created by the Board of Directors to advance corporate governance and operating objectives, the Governance Committee recommends governance policy, guidelines and procedures, makes recommendations on the Board’s effectiveness, monitors application of the Code of Conduct and conflict of interest guidelines, and assumes other duties at the request of the Board of Directors.

 

From time to time, the Board, at the request of the Chair, may also form ad hoc committees to address specific issues or those requiring an immediate decision.

 

Risk Committee

 

Created by the Board of Directors to assist the Board in overseeing risk management and risk governance, the Risk Committee reviews and recommends the Integrated Risk Policy, monitors CPP Investments’ risk profile against its risk appetite and reviews key existing and emerging risks to which CPP Investments is exposed.
